Fractional CFO vs Virtual CFO vs full-time CFO: what an Ahmedabad SME actually needs

By CA Divya Gothi · 2026-10-21

Three labels, one real question: how much senior finance judgment does your business need, and how many days a month? A plain comparison of cost, scope and timing for Ahmedabad founders, including when a full-time hire is the right call.

Founders in Ahmedabad usually reach this question the same way. The bank wants a CMA report, the books are three months behind, an investor has asked for a model, and the person doing the accounts is excellent at GST returns but has never forecast cash. Someone suggests "a CFO". Then the search results offer three versions of one: fractional, virtual and full-time.

We run fractional CFO retainers from Bodakdev, so we have an interest in the answer. We will still tell you where a full-time CFO is the better call, and where you do not need a CFO at all.

Fractional and virtual are the same job

In India the terms fractional CFO, virtual CFO, part-time CFO and outsourced CFO are used for one arrangement: a senior finance professional who works for your company on a retainer for a defined share of the month, instead of a full-time salary. "Virtual" became popular when most of the work moved onto shared accounting systems and video calls. "Fractional" came from the US market and describes the time model more honestly. Neither word tells you what you will get.

The difference that matters is scope. Some "virtual CFO" packages are monthly bookkeeping and GST filing with a partner glancing at the P&L. Others are true CFO work: forecasting, bank funding, board reporting and decisions. Judge the proposal, not the label.

A quick test: ask what decisions the CFO will help you make in the next 90 days. If the answer is a list of filings, you are being offered bookkeeping.

The comparison, side by side

Bookkeeping sold as a "CFO" Fractional / virtual CFO Full-time CFO
Typical cost ₹15,000 to ₹35,000 a month About ₹40,000 to ₹3 lakh a month, by scope ₹50 lakh to ₹2 crore a year in CTC
Time Data entry and monthly filings A defined number of days a month, plus on-call Full-time, in your office
Forecasting, bank and investor work No Yes Yes
Who does the books The same team An associate, reviewed by the CFO A finance team the CFO hires and runs
Can be a statutory officer and signatory No No Yes
Usually fits Under ₹2 crore revenue, simple operations Roughly ₹2 crore to ₹50 crore revenue Roughly ₹50 to ₹75 crore revenue and above, or a regulatory need

The revenue bands are a guide, not a rule. A ₹10 crore exporter with three entities and a term loan can need more CFO time than a ₹40 crore single-product trader.

When a fractional CFO is the right answer

Most growing Ahmedabad businesses we meet are manufacturers, traders and family companies that fund growth through banks rather than venture capital. For them, the CFO work comes in bursts: a renewal, a project loan, a subsidy claim, an audit. A full-time hire sits underused between bursts. A fractional CFO is scoped to the bursts and keeps the monthly rhythm going in between. The common triggers:

  • A term loan, working-capital enhancement or renewal where the bank wants a CMA report and projections it will accept on the first pass
  • Cash shortfalls that arrive without warning, usually from receivable cycles, inventory build-up or GST outflows nobody forecast
  • Books that close weeks or months late, so decisions are made on last quarter's numbers
  • A capital investment where Gujarat incentives such as the Viksit Gujarat Industrial Policy 2026 subsidy depend on how the project and loan are structured
  • An equity raise, due diligence or a new investor who expects a model and a monthly MIS pack
  • A founder who spends evenings in spreadsheets instead of running the business

When you should hire a full-time CFO

A fractional CFO is not a permanent substitute for every company. Hire full-time when one or more of these is true:

  • The law requires it. Under Section 203 of the Companies Act, 2013 read with the managerial personnel rules, listed companies and public companies with paid-up share capital of ₹10 crore or more must appoint whole-time key managerial personnel, which includes a CFO. Most private limited SMEs are outside this, but check your status before you rely on a retainer.
  • You need a named officer who signs. A fractional CFO recommends, prepares and reviews. They cannot be your statutory signatory on bank accounts and filings, so a director or finance manager still signs.
  • Finance has become a daily operating function: several plants or geographies, a finance team of five or more to manage, treasury decisions every week.
  • You are within 12 to 18 months of an IPO or a large acquisition, where a full-time CFO's presence is part of what the market and the acquirer are buying.

Even then, a fractional CFO is often the bridge. Many companies use one to build the systems, the MIS and the finance team first, then hire the full-time CFO into a function that already works, instead of asking a ₹1 crore hire to spend their first year cleaning up.

When you do not need a CFO yet

If revenue is under about ₹2 crore, you have one entity, no bank debt and no fundraising plan, you probably need clean books and on-time compliance, not a CFO. Pay for good bookkeeping and a CA who reviews it. Come back to this question when one of the triggers above appears. Buying CFO time before you have CFO decisions is money spent on reports nobody reads.

The real cost comparison

The salary gap is obvious: a full-time CFO at ₹50 lakh to ₹2 crore a year in CTC against a retainer of ₹40,000 to ₹3 lakh a month. Two less obvious costs decide it in practice.

First, the cost of a wrong hire. A full-time CFO hired too early either leaves within a year, bored, or settles into running bookkeeping at a CFO salary. Second, the cost of a missing CFO. A rejected loan proposal, a subsidy lost to a badly timed draw-down or a forecast that missed a cash gap usually costs more in a single year than a retainer.

Questions to ask before you sign either

  1. Who exactly is my CFO? Name the person, their qualifications and how many other retainers they carry.
  2. How many days a month is that person on my business, and what does on-call mean in hours?
  3. What will I receive every month? Ask to see a sample MIS pack and a cash-flow forecast.
  4. Who keeps the books, and who reviews them before I see the numbers?
  5. What is in the retainer and what is extra? CMA reports, audits, fundraising support and board packs are often priced separately.
  6. What is the notice period? One month is fair. Three is a lock-in.

How we run it at ADAPT

Our fractional CFO engagements are led by CA Divya Gothi, a Chartered Accountant and CFA charterholder who also serves as an Independent Director. He leads more than 10 fractional CFO retainers today. Each engagement starts with a scoping call, then a written proposal with one fixed monthly number. The first 30 days go into cleaning the books and delivering a baseline MIS; after that the rhythm is a monthly review with the promoters, a cash-flow update and an agreed list of decisions.

If a fractional CFO is not what you need yet, we will say so on the call and tell you what to do instead.

Frequently asked questions

What is the difference between a fractional CFO and a virtual CFO?

In India there is no practical difference. Both describe a senior finance professional who works for your business part-time on a monthly retainer. What differs between providers is scope: some packages are bookkeeping and filings with a CFO label, others include forecasting, bank funding and board reporting. Judge the scope, not the name.

How much does a fractional CFO cost in Ahmedabad compared with a full-time CFO?

Fractional CFO retainers for Ahmedabad SMEs usually run from about ₹40,000 to ₹1 lakh a month, rising towards ₹3 lakh a month for fundraising, multi-entity or cross-border work. A full-time CFO typically costs ₹50 lakh to ₹2 crore a year in CTC.

When should a company move from a fractional CFO to a full-time CFO?

Usually when revenue crosses roughly ₹50 to ₹75 crore, when finance becomes a daily operating function across several plants or geographies, when an IPO or large acquisition is 12 to 18 months away, or when the law requires a whole-time CFO.

Is a whole-time CFO mandatory for private limited companies?

Generally no. Section 203 of the Companies Act, 2013 and the related rules require whole-time key managerial personnel, including a CFO, in listed companies and in public companies with paid-up share capital of ₹10 crore or more. Most private limited SMEs fall outside this, but confirm your company's status with your CA.

Can a fractional CFO sign documents for my company?

No. A fractional CFO is not a statutory officer, so they cannot be the authorised signatory on bank accounts or statutory filings. They prepare, review and recommend; a director or finance manager signs.

Do I need a CFO if my business is under ₹2 crore revenue?

Usually not. With one entity, no bank debt and no fundraising plans, clean bookkeeping and a CA who reviews it are enough. A CFO becomes worth it when a loan, a raise, a large investment or recurring cash surprises appear.
